Xtend AI Robotics, Inc. has disclosed the termination of its Chief Operating Officer, Amir Ofri, effective October 31, 2026. The separation was executed via a Termination of Employment by Mutual Agreement signed on October 22, 2026, between the Company’s subsidiary, XTEND Reality Expansion Ltd., and Mr. Ofri.
Under the terms of the agreement, Mr. Ofri will resign from his position as Chief Operating Officer on the Separation Date of October 31, 2026. Following this date, he is entitled to continue receiving his base salary and benefits through the Termination Date of December 31, 2026. Additionally, his equity awards will continue to vest according to their original terms. The Company will provide a termination payment equal to three times Mr. Ofri’s monthly salary on the Termination Date, a one-time gross payment of NIS 30,000 (approximately $9,636) in lieu of a vehicle allowance, and all accrued amounts due under Israeli law.
In other leadership updates, the Company announced amendments to the employment agreements of five executives: Aviv Shapira, Tal Horesh, Reuven Liani, Matteo Shapira, and Mor Swiel. These amendments, dated October 24, 2026, address compensation structures and equity awards.
Regarding salary, the amendments stipulate that the salaries of Messrs. Shapira, Horesh, Liani, and Matteo Shapira will be reduced by 15% of their current annual rates, effective December 1, 2026. The reduction is temporary and will remain in effect until the Compensation Committee determines that there has been sufficient improvement in the share price or that sufficient debt or equity financing has been closed. At that point, the annual salary will automatically be restored to the Base Salary. The current annual salaries for these executives are listed as $425,000 for Aviv Shapira, $340,000 for Tal Horesh, $327,250 for Reuven Liani, and $327,250 for Matteo Shapira.
Furthermore, all outstanding and unvested restricted stock units (RSUs) held by these four executives will become fully vested immediately prior to, and subject to, the consummation of a Change in Control as defined in the Company’s 2026 Equity Incentive Plan. Mr. Mor Swiel received a separate grant of 570,000 RSUs, which will vest monthly over 36 months. This grant is divided into three tranches of 190,000 RSUs each, with vesting conditions tied to specific dates and key performance indicators.
