XMax Inc. has entered into a five-year agreement with DSH HYPER PTE. LTD. to secure dedicated GPU computing capacity. Under the B300 GPUaaS Service Agreement, DSH will provide XMax with infrastructure services sourced from kt cloud Co., Ltd., an affiliate of KT Corporation. XMax’s wholly owned subsidiary, XMax AI Inc., will serve as the designated operating end user for the services.

The agreement outlines a phased deployment of high-performance computing resources. The initial configuration consists of 60 nodes equipped with 480 GPUs and 300 TB of storage. The service is scheduled to expand to a final configuration of 64 nodes with 512 GPUs and 560 TB of storage. These components become billable only after they have been supplied and passed acceptance testing.

Service and billing commenced on October 29, 2026. The committed term runs for sixty months, ending on October 28, 2031. The total scheduled service charges for the term are approximately KRW 162.3 billion (approximately US$122.5 million based on an exchange rate of KRW 1,325.06 to US$1.00). Payments are due monthly and subject to adjustments for actual expansion delivery, service-level credits, and other contractual factors.

To secure the agreement, XMax has agreed to provide a standby letter of credit (SBLC) with a required amount of KRW 10,833,919,488 (approximately US$8.2 million). The Company has also agreed to enter into a corporate guarantee. Both the SBLC and the corporate guarantee are subject to approval by XMax’s board of directors. The Company is required to deliver the required security and related documents by November 17, 2026. The first payment, approximately KRW 2.78 billion (approximately US$2.1 million), is due on November 6, 2026, and constitutes a non-refundable setup fee.

XMax intends to utilize this infrastructure to advance the research, development, and commercialization of its NeoCloud and AI Token Factory offerings. The Company expects the businesses supported by this project to generate more than US$100 million in cumulative revenue over the next five years.
