XCF Global, Inc. (NASDAQ: SAFX) announced on November 2, 2026, that its Board of Directors has decided not to proceed with a proposed reverse stock split and has canceled the Special Meeting of Stockholders, which was scheduled for November 9, 2026.
The company stated that the decision was made after considering shareholder feedback and strategic priorities, with management focusing on business execution and long-term value creation.
According to the filing, XCF Global has until December 7, 2026, to regain compliance with Nasdaq’s minimum bid price requirement. The withdrawal of the reverse stock split proposal does not resolve the company’s noncompliance. The filing warns that there is no assurance XCF will regain compliance within the applicable period, and failure to do so is expected to result in delisting. A delisting could adversely affect trading liquidity and access to capital.
Management indicated that resources will be directed toward operating and commercial priorities, including increasing fuel production and shipments, expanding customer relationships, and advancing opportunities to grow production capacity.
XCF Global is a U.S.-based producer of renewable diesel and sustainable aviation fuel. The company recently completed business combinations with DevvStream Corp. and Southern Energy Renewables. It also seeks to complete the acquisition of a renewable fuel production facility in Paramount, California, which would add approximately 50 million annual gallons of production capacity.
