WhiteHawk Minerals Corp. has entered into a definitive agreement to offer up to 100,000 shares of Series F Redeemable Preferred Stock. The company announced on October 6, 2026, that it appointed Preferred Capital Securities, LLC as the Dealer Manager for the transaction. The offering is being conducted pursuant to a registration statement on Form S-1 (File No. 333-299246) that was declared effective by the SEC on the same date.

Under the terms of the Certificate of Designations, the Series F Preferred Stock has a stated value of $1,000.00 per share and pays a fixed cumulative annual dividend rate of 7.5% on that stated value. The shares are senior to the company’s Class A common stock and rank on a parity with the Series B Preferred Stock. Holders of the Series F Preferred Stock are entitled to redeem their shares at any time prior to listing on a national securities exchange, subject to early redemption fees and limitations. The company retains the option to redeem shares on or after the first anniversary of issuance with 90 days' written notice.

The offering is structured as a best efforts sale, meaning Preferred Capital Securities is not obligated to sell a specific number of shares. Each share is priced at up to $1,000.00, subject to adjustments in the Prospectus. The company will pay the Dealer Manager a fee of up to 2.5% of the Stated Value per share sold and a selling commission of up to 5.5% of the Stated Value per share sold. The company may reduce or eliminate these commissions on certain sales as described in the Prospectus.

In addition to the Dealer Manager agreement, WhiteHawk entered into a Preferred Shareholder Services Agreement with Preferred Shareholder Services, LLC (an affiliate of the Dealer Manager). This agreement provides administrative services, including recordkeeping, communications with holders, and oversight of an e-delivery program. The company also filed a Certificate of Designations with the Secretary of State of Delaware on October 1, 2026, to establish the authorized Series F Preferred Stock.
