Werner Enterprises, Inc. reported financial results for the third quarter ended September 30, 2026, filing an -K with the SEC on October 27, 2026. The company reported total revenues of $950.5 million for the quarter, an increase of $179.0 million, or 23%, compared to the prior year.
Operating income for the quarter was $17.0 million, compared to an operating loss of $13.0 million in the prior year. This improvement was partially attributed to the non-recurrence of litigation costs of $21.4 million recorded in the prior year related to a class action settlement. On a non-GAAP basis, adjusted operating income was $21.0 million, an increase of $10.1 million, or 92%. Diluted earnings per share were $0.11, compared to a diluted loss per share of $0.34 in the prior year, while non-GAAP adjusted diluted earnings per share were $0.16.
Revenues were driven by a 37% increase in Truckload Transportation Services (TTS) revenues, which totaled $714.0 million. This segment benefited from the acquisition of FirstFleet, completed on January 27, 2026, and a 28% increase in trucking revenues net of fuel surcharge. However, Werner Logistics revenues decreased 7% to $215.8 million.
Regarding capital allocation, the company reported net capital expenditures of $37.3 million in the quarter. As of September 30, 2026, the company had $39.2 million in cash and cash equivalents and $1.4 billion in stockholders’ equity. Total debt outstanding was $847.4 million. Subsequent to the quarter-end, on October 5, 2026, Werner Enterprises entered into a new $1.1 billion unsecured credit facility, replacing the previous $1.075 billion facility, and borrowed $465 million under the new agreement.
