Weatherford International plc (NASDAQ: WFRD) announced on October 27, 2026, that the High Court of Ireland has approved the company’s scheme of arrangement to change its legal domicile from Ireland to Delaware. The company expects to complete this redomestication on November 13, 2026, subject to the satisfaction of customary closing conditions.

Upon completion, Weatherford International Corp, a Delaware corporation, will become the publicly traded parent company of the Weatherford group. The filing notes that the redomestication will not alter the company’s operations, management, business strategy, or headquarters. Weatherford’s ordinary shares are expected to continue trading on the Nasdaq Global Select Market under the ticker symbol “WFRD.”

In connection with the completion of the redomestication, the company initiated certain related restructuring activities at a subsidiary level. These activities are being evaluated for their accounting and tax implications. Weatherford expects to recognize deferred tax assets, which will result in a positive non-cash change to the Income Tax Provision reflected on the company’s financial statements for the fourth quarter of 2026. The company estimates this change to be between $250 million and $300 million.
