Vylor Inc. has completed its separation from Corteva, Inc., becoming an independent, publicly traded company as of October 1, 2026. The Separation was effected through a pro rata distribution of all outstanding shares of Vylor common stock to holders of Corteva common stock as of the close of business on September 24, 2026. Vylor’s common stock began trading on the New York Stock Exchange under the ticker symbol VYLR on October 1, 2026.

In connection with the formation of Vylor, the company issued 667,302,930 shares of common stock to EIDP, Inc., a wholly owned subsidiary of Corteva. This transaction involved EIDP contributing 100% of the issued and outstanding shares of Pioneer Hi-Bred International, Inc. (PHI) to Vylor. In exchange, Vylor paid EIDP a cash distribution of approximately $761 million and assumed a portion of EIDP’s outstanding senior notes totaling $1.5 billion.

Financially, Vylor established a $3.0 billion five-year senior unsecured revolving credit facility and a $1.5 billion 364-day senior unsecured revolving credit facility. On October 1, 2026, the company borrowed $1.578 billion under the five-year facility and $1.5 billion under the 364-day facility to repay $3.078 million of borrowings under a previously existing bilateral facility with Banco Bilbao Vizcaya Argentaria, S.A. New York Branch, which ceased to be effective following this repayment.

The company also appointed a new Board of Directors and executive officers effective at the Effective Time. The Board expanded from two members to seven, appointing Karen H. Grimes as Chair, along with Victor J. Aguilar, Rajesh Kalathur, Marcos M. Lutz, Charles V. Magro, Johannes J. Oosthuizen, and Kerry J. Preete. Charles V. Magro was appointed Chief Executive Officer, while David P. Johnson retained his role as Chief Financial Officer. Dr. Samuel R. Eathington was named Chief Technology Officer, Judd M. O’Connor Chief Commercial & Operations Officer, Jennifer A. Johnson Chief Legal Officer and Corporate Secretary, and Audrey Grimm Chief People Officer. Additionally, Colleen Hopper was named Vice President, Corporate Finance and Principal Accounting Officer.

The Board adopted the Vylor Inc. 2026 Omnibus Incentive Plan and the Vylor Inc. 2026 Employee Stock Purchase Plan, effective as of the Effective Time. PricewaterhouseCoopers LLP (PwC) was appointed as the company’s independent registered public accounting firm for the fiscal year ending December 31, 2026.
