Vylor Inc. has completed a significant debt restructuring involving the exchange of outstanding notes issued by EIDP, Inc. On October 1, 2026, the company settled an exchange offer and related consent solicitations for EIDP Notes, issuing new senior notes in their place.

The exchange involved three series of EIDP Notes. The aggregate principal amounts tendered and accepted for exchange were:

Following the settlement, the remaining outstanding principal amounts of the EIDP Notes are $65,161,000, $23,786,000, and $72,416,000, respectively.

In connection with the settlement, Vylor issued $1,438,218,000 aggregate principal amount of new senior notes. These include:

The new notes, known as Vylor Notes, are senior unsecured obligations of Vylor Inc. and were issued pursuant to an indenture dated August 31, 2026, as supplemented on October 1, 2026. The issuance was not registered under the Securities Act of 1933.

Vylor has also entered into a Registration Rights Agreement with Morgan Stanley & Co. LLC, J.P. Morgan Securities LLC, and BofA Securities Inc. Under this agreement, the company agreed to file a registration statement with the Securities and Exchange Commission within 366 days from the settlement date.
