Vulcan Infrastructure and Power Inc. (Nasdaq: VIP) announced the closing of a private investment in public equity (PIPE) transaction on September 10, 2026. The company raised approximately $39.4 million in gross proceeds from a strategic investment led by affiliates of Machine Investment Group and Atlas Holdings, alongside institutional investors including Conversant Capital and certain company insiders.
The transaction involved the issuance of 17,146,190 shares of Class A common stock at a purchase price of $1.71 per share. In addition to the equity, Vulcan issued a $10.0 million principal amount senior secured convertible promissory note to an affiliate of Machine Investment Group. This note bears interest at 10.0% per annum on a payment-in-kind basis and matures on September 10, 2029. The company also issued a three-year warrant to Machine affiliates to purchase 1,754,386 shares of common stock at an exercise price of $1.71 per share.
According to the filing, Vulcan intends to use the net proceeds from the transaction to redeem the remaining approximately $33.1 million in aggregate principal amount of its 8.50% Senior Notes due October 2026. Any remaining proceeds are designated for general corporate purposes, including the predevelopment of operations in Dresden, New York, and Columbus, Mississippi.
The closing of the transaction also resulted in the reconstitution of the company’s board of directors to consist of 10 directors. The investors received board representation rights, a non-voting board observer right, a right of first offer regarding future equity financings, and registration rights with respect to the shares issued in the transaction.
Vulcan currently operates a 104 MW power plant in Dresden, New York and owns a 34-acre development site in Columbus, Mississippi. The company has identified a 654 MW combined development pipeline across its owned sites and is evaluating approximately 2.5 GW of potential capacity across 12 additional sites in the United States and Canada.
