Visium Technologies, Inc. announced the resignation of its Chairman of the Board, Chief Executive Officer, and director, Paul R. Taylor, effective immediately on October 26, 2026. Mr. Taylor submitted an unconditional resignation letter citing a disagreement with the Company regarding its operations, policies, and practices. Specifically, the dispute concerns the evaluation of previously issued financial statements and related accounting matters.

The conflict arose after Mr. Taylor delivered a proposed joint determination on eight accounting and capitalization matters to the Company’s Chief Financial Officer, Mark B. Lucky, on October 23 and 24, 2026. He requested a response by 5:00 p.m. Eastern Time on October 25, 2026. Mr. Taylor subsequently executed an officer’s certificate regarding these matters and delivered it to the Company’s independent auditor, Fruci & Associates II, PLLC.

The Company disputes Mr. Taylor’s characterization of the situation. It notes that Mr. Lucky provided written responses to the proposed determinations before a Board meeting Mr. Taylor called for October 28, 2026. The Company states that Mr. Lucky does not concur with the officer’s certificate and that the Board has not authorized it or concluded that previously issued financial statements should not be relied upon. The Company also stated that some documents Mr. Taylor delivered on October 26 were not fully conformed.

Following Mr. Taylor’s departure, Mark B. Lucky, the Company’s CFO, Treasurer, and Secretary, became the sole director. The Company intends to increase the Board size to three and elect two independent directors to form a Special Committee to review the matters described in the report. Mr. Lucky has been designated as the interim principal executive officer effective October 28, 2026, and will receive no additional compensation for this role.

In related developments, Mr. Lucky delivered a notice of Good Reason under his Executive Employment Agreement, citing the Company’s failure to pay his base salary and maintain directors’ and officers’ liability insurance. The Company has been given an opportunity to cure the issues, with the cure period extended to the later of November 25, 2026, or 30 days after the Special Committee is constituted, but not later than March 1, 2027. As of October 30, 2026, the Company owed Mr. Lucky approximately $124,800 in accrued base salary.
