Vertiv Holdings Co. announced on October 27, 2026, that it has completed the acquisition of Utility Innovation Holdings, Inc., operating as UtilityInnovation Group (UIG). The transaction was executed through a merger of Vertiv’s wholly-owned subsidiary, Vultra Merger Sub, Inc., with and into UIG, with UIG continuing as a wholly-owned subsidiary of Vertiv.

The total consideration for the acquisition includes approximately $1.45 billion paid in upfront cash at closing, subject to customary adjustments for working capital, indebtedness, and transaction expenses. Additionally, the deal includes potential cash consideration of up to $1.15 billion, payable in two tranches if specific earnings before interest, taxes, depreciation, and amortization (EBITDA) targets are met over 12- and 24-month periods.

Vertiv stated that the upfront purchase price represents approximately 13 times expected UIG 2027 EBITDA. The company anticipates the acquisition will be accretive to adjusted earnings per share in the first year following completion.

UIG specializes in microgrid solutions, advanced power controls, and behind-the-meter power architecture design for data centers. Vertiv intends to integrate these capabilities to extend its portfolio upstream to grid interconnects and onsite power sources. The company believes this combination will help data center operators secure power faster amid increasing grid constraints.
