Verizon Master Trust, a Delaware statutory trust, has entered into an underwriting agreement to issue a new series of asset-backed notes. The transaction is scheduled to close on or about September 22, 2026. The underwriters for the offering include BofA Securities, Inc., SMBC Nikko Securities America, Inc., Truist Securities, Inc., and U.S. Bancorp Investments, Inc.

The offering consists of four classes of notes with the following initial note balances:

The total aggregate principal amount of the notes is $1,000,000,000. The transaction involves the execution of an Indenture with U.S. Bank Trust Company, National Association, acting as indenture trustee and note paying agent. Additionally, the Trust will enter into a Series 2026-3 Account Control Agreement with U.S. Bank National Association to pledge certain accounts related to the series to the indenture trustee.
