VerifyMe, Inc. has filed a Certificate of Amendment to its Amended and Restated Articles of Incorporation to implement a reverse stock split. The amendment, filed with the Nevada Secretary of State on September 22, 2026, establishes a 1-for-10 ratio for the split. This change will be effective at 12:01 a.m. Eastern Time on September 29, 2026.
Following the split, the company’s common stock, which trades on the Nasdaq Capital Market under the symbol “VRME,” will begin trading on a post-split basis at the market open on September 29. The new CUSIP identifier for the stock will be 92346X305. The par value of the common stock remains at $0.001 per share.
The reverse stock split will combine every 10 shares of issued and outstanding common stock into one share. The total number of authorized shares will remain unchanged. Shareholders who would otherwise receive fractional shares due to the split will receive an additional fraction to round up to the next whole share. Proportionate adjustments will be made to the per-share exercise prices and number of shares issuable under all outstanding warrants and equity awards.
In related news, the company’s board of directors declared a special cash dividend of $0.15 per share on September 18, 2026. This dividend is payable to holders of common stock and Series B Convertible Preferred Stock on an as-converted basis. Payment of the dividend is contingent upon the closing of the proposed merger with Open World Ltd.
