Veracyte, Inc. (VCYT) has entered into a definitive agreement to acquire Convergent Genomics, a genomic diagnostics company focused on bladder cancer. The transaction was executed on September 10, 2026, and the merger was completed on September 14, 2026.

Under the terms of the Merger Agreement, Veracyte will pay Convergent’s securityholders aggregate cash consideration of $150 million. This amount is subject to customary purchase price adjustments for Convergent’s cash, indebtedness, transaction expenses, and net working capital. Additionally, Veracyte may pay up to an aggregate of $30 million in additional cash consideration contingent upon the achievement of specific milestones related to UroAmp publications and reimbursement efforts.

Convergent Genomics is known for its UroAmp platform, which utilizes proprietary urinary tumor DNA (utDNA) technology. The company has clinically validated this technology for non-muscle invasive bladder cancer (NMIBC), including monitoring therapy response and post-treatment surveillance. Veracyte intends to commercialize a test to help determine if patients who have completed Bacillus Calmette-Guerin (BCG) induction therapy are likely to benefit from maintenance treatment, with an expected launch in late 2028 subject to reimbursement timelines.

Founded in 2015 by Trevor Levin, PhD, and a team of cancer biologists, urologic oncologists, and data scientists, Convergent operates a clinical laboratory in South San Francisco that is certified by the California Department of Public Health and nationally by CLIA-CMS. The company has engaged in research with over 30 sites worldwide, including leading academic centers, and has received multiple peer-review grants from the National Cancer Institute.
