On October 18, 2026, Valor Energy Inc. entered into the Youngstown Computing Center Equity Transfer Agreement with Glorious Star LLC to acquire 100% of the equity interests in the Target Company. The transaction involves purchasing the Ohio limited liability company, which holds rights to a computing center project located at 1911 Logan Avenue in Youngstown, Mahoning County, Ohio.

The target property includes approximately 30,888 square feet of warehouse space and outdoor areas. The project interests include site ownership, lease or use rights, and a 23kV electricity connection supplied by Ohio Edison with 18,000 kVA (18 MVA) of site-level apparent power capacity. The filing notes that the 18 MVA figure represents apparent power capacity and does not necessarily equal usable IT load.

The aggregate purchase price for the equity interests is $3,600,000. Valor Energy is required to place a refundable performance deposit of $360,000 into a third-party escrow account within five business days of the agreement's effective date. The remaining $3,240,000 is due concurrently with the transfer of equity and control, along with a $30,000 reimbursement for prepaid rent through December 31, 2026.

Following the closing, the Company plans to convert the Project into a data center serving artificial intelligence and high-performance computing workloads. The filing states that the existing computing center is completed and energized, but the planned conversion will require additional design, construction, equipment, and permitting work.

The transaction is subject to a 30-business-day due diligence period and a closing deadline no later than the 30th business day after that period, unless extended. Closing conditions include the Company's acceptance of due diligence results, the accuracy of the Seller's representations, and the delivery of required closing documents.
