Vail Resorts, Inc. (NYSE: MTN) announced on September 2, 2026, that Board of Directors member Sue Decker will not stand for reelection at the Company’s 2026 Annual Meeting of Stockholders. Ms. Decker’s current term will conclude on the date of that meeting.
The filing states that Ms. Decker’s decision was made to manage her total number of board commitments. She has joined the boards of Anderson Group, Inc. and Nscale, Ltd. within the last year. The company notes there were no disagreements regarding operations, policies, or practices.
Ms. Decker will continue to serve on the Board’s Compensation Committee until the end of her current term or until the Board determines otherwise. In a statement, Rob Katz, Chairperson and Chief Executive Officer of Vail Resorts, thanked Ms. Decker for her service, citing her strategic insight and financial acumen.
In connection with this transition, the Board approved a reduction in its size to nine members effective at the 2026 Annual Meeting. The Nominating & Governance Committee is currently conducting a search for an additional independent director with the assistance of a leading executive search firm. The Board expects to complete this process and increase the size of the Board back to ten members in early 2027.
Recent additions to the Board include Bill Hornbuckle, CEO of MGM Resorts International, who was appointed in July, and Reggie Chambers and Iris Knobloch, who joined in 2024.
