USA TODAY Co., Inc. (NYSE: TDAY) announced on September 15, 2026, that its Board of Directors has appointed Timothy Allen as an independent director. The appointment increases the size of the Board from eight to nine members, effective immediately.
Mr. Allen is the Chief Executive Officer of Babbel, a global digital language-learning company. In this role, he oversees the company’s global strategy, operations, and growth initiatives, including the integration of artificial intelligence to enhance customer experiences.
Mr. Allen brings over two decades of experience in technology, digital media, and subscription businesses. Prior to joining Babbel, he served as the Chief Executive Officer of Care.com and Ask.com. He also held the position of Vice President of Program Management and Operations at Ask.com and was the General Manager of Product Management at Vimeo.
USA TODAY Co. Chairman and Chief Executive Officer Michael Reed highlighted Mr. Allen’s background in digital innovation and consumer-focused growth. Mr. Allen will serve on the Company’s Audit Committee and Transformation Committee. His initial term will expire at the Company’s 2027 annual meeting of stockholders, or until his successor is elected and qualified.
The Company stated that Mr. Allen will receive the standard annual compensation for non-employee directors, pro-rated based on his effective date of appointment. This compensation is described in the Company’s Definitive Proxy Statement on Schedule 14A filed on April 17, 2026. It is anticipated that he will enter into an indemnification agreement in a form substantially similar to the agreements entered into by other directors.
