USA Compression Partners, LP and its wholly-owned subsidiary, USA Compression Finance Corp., entered into an indenture on September 18, 2026, to issue $600,000,000 in aggregate principal amount of 6.750% senior notes due 2035. The notes are being offered pursuant to a previously announced transaction exempt from registration requirements under the Securities Act of 1933.

The notes will accrue interest at a rate of 6.750% per year, payable semi-annually in arrears on April 1 and October 1, beginning April 1, 2027. The net proceeds from the issuance are intended to be used to repay outstanding borrowings under the Partnership’s credit agreement and to pay fees and expenses related to the offering.

Under the terms of the indenture, the Issuers may redeem up to 40% of the aggregate principal amount prior to October 1, 2029, at a redemption price of 106.750% of the principal amount, provided the redemption is funded by net proceeds from one or more equity offerings and at least 60% of the notes remain outstanding. The notes are general unsecured obligations of the Issuers and their guarantors, ranking equally with existing senior indebtedness and senior to future subordinated indebtedness.
