UiPath, Inc. reported financial results for the second quarter of fiscal 2027, which ended July 31, 2026. Revenue for the quarter was $410 million, representing a 13 percent increase year-over-year. The company reported an annualized renewal run-rate (ARR) of $1.938 billion, a 12 percent increase from the prior year.
In addition to its financial results, UiPath announced several leadership and board changes. The company increased the size of its Board of Directors from seven to eight members and appointed Yazdi Bagli to the board, effective September 3, 2026. Mr. Bagli currently serves as Executive Vice President of Information Technology and Enterprise Business Services at Kaiser Permanente and is pursuing a fellowship at Harvard University.
UiPath also announced executive promotions. Hitesh Ramani was appointed Chief Financial Officer, effective September 3, 2026. Mr. Ramani previously served as the company's Deputy Chief Financial Officer and Chief Accounting Officer. Brad Brubaker was appointed Chief Legal & Administrative Officer, expanding his role to include oversight of the People organization.
Regarding compensation, Mr. Ramani will receive a base salary of $470,000 and an annual performance-based bonus with a target opportunity of 50 percent of his base salary. The company granted him 130,368 restricted stock units, with 16.67 percent vesting on October 1, 2026, and the remainder vesting in equal quarterly installments thereafter.
UiPath also disclosed that its CEO, Daniel Dines, adopted a 10b5-1 trading plan on July 15, 2026. Under this plan, an entity controlled by Mr. Dines may sell up to 5,000,000 shares of Class A common stock through February 1, 2027. The shares subject to the plan represent less than 5 percent of Mr. Dines’s holdings.
For the third quarter of fiscal 2027, the company expects revenue between $440 million and $445 million. For the full year fiscal 2027, revenue is expected to be between $1.789 billion and $1.794 billion.
