Tucows Inc. has announced that its subsidiary, Ting Fiber, LLC, has entered into an agreement to transfer its dark fiber network lease in Colorado Springs, Colorado. The transaction involves the transfer of Ting’s rights and obligations to Google Fiber Colorado, LLC.
The Assignment, Assumption, Novation and Transition Agreement, executed on October 21, 2026, stipulates that the transfer will close on March 31, 2027. This closing date is contingent upon customary conditions, including the absence of uncured material breaches by Ting regarding transition obligations and the accuracy of representations and warranties as of the Closing Date.
Under the terms of the agreement, Ting will assign its lease with Colorado Springs Utilities to Google Fiber. Following the closing and the satisfaction of certain post-closing obligations expected by the end of April 2027, Tucows’ Parent Guaranty will be terminated.
Ting will continue to serve its Colorado Springs customers throughout the transition period, which is expected to be completed no later than June 30, 2027. Customers will receive direct notice in advance of any changes to their service.
As previously disclosed in Tucows’ Form 10-Q for the quarter ended June 30, 2026, Ting’s aggregate payment obligations under the lease were estimated at approximately $322.8 million for the remaining term of the lease.
