Toyota Motor Credit Corporation (TMCC) announced on September 11, 2026, the renewal of its Euro Medium Term Note Programme (EMTN Program). The program, which allows for the issuance of unsecured notes in various currencies, interest rates, and maturities, has been renewed for a single-year term. The total authorized principal amount of notes under the program is set at 60 billion euros, a figure shared among TMCC and its affiliates.
The program includes four issuers: Toyota Motor Credit Corporation, Toyota Motor Finance (Netherlands) B.V., Toyota Credit Canada Inc., and Toyota Finance Australia Limited. TMCC may issue notes in bearer form or registered form. Registered notes are governed by a separate Amended and Restated Note Agency Agreement dated September 11, 2026, between TMCC and The Bank of New York Mellon SA/NV, Dublin Branch, and The Bank of New York Mellon, acting through its London branch.
Notes issued under the program pursuant to Regulation S are not registered under the Securities Act of 1933 and may not be offered or sold within the United States or to U.S. persons without an applicable exemption. The filing includes copies of the Amended and Restated Agency Agreement and the Amended and Restated Note Agency Agreement as Exhibits 4.1 and 4.2, respectively.
