On October 29, 2026, Texas Community Bancshares, Inc. (TCBS) entered into a definitive agreement to acquire The Banc of San Jacinto County Bancshares, Inc. (SJCB). Under the terms of the agreement, SJCB will merge with and into TCBS, with TCBS serving as the surviving entity. The transaction is structured as an all-cash acquisition, with SJCB’s shareholders to receive aggregate cash consideration of $9,500,000.

The merger involves two steps. First, SJCB will merge with TCBS. Immediately following this merger, SJCB’s wholly-owned banking subsidiary, The Bank of San Jacinto County, will merge with TCBS’s banking subsidiary, Broadstreet Bank, SSB. Broadstreet Bank will continue as the surviving bank.

SJCB Bank is a community-focused institution headquartered in Coldspring, Texas, the county seat of San Jacinto County. Founded in 1963, the bank operates a single office and offers retail and commercial banking services. As of June 30, 2026, SJCB reported total assets of $41.951 million, total loans of $12.515 million, and total deposits of $35.305 million. The bank is led by Chief Executive Officer Denny Clark.

The boards of directors for both TCBS and SJCB have unanimously approved the merger agreement. The transaction is expected to close in the first quarter of 2027. Closing is subject to customary conditions, including the approval of the merger agreement by two-thirds of the outstanding shares of SJCB common stock and the receipt of required regulatory approvals.

TCBS is the bank holding company for Broadstreet Bank, SSB, which is headquartered in Mineola, Texas. Broadstreet operates through its main office and six branch offices in Franklin, Hopkins, Smith, Van Zandt, and Wood Counties in East Texas. The company is traded on the NASDAQ Capital Market under the symbol "TCBS."
