TerraVolt Holdings, Inc. has entered into two option agreements with Wickel Land Company LLP to acquire approximately 1,077 acres of land in Cassia County, Idaho, located outside the town of Declo. The agreements were executed on October 23, 2026, and grant TerraVolt the right to purchase the property. The total option fee paid to the seller is $150,000, with $75,000 held in escrow and $75,000 nonrefundable.

The property is zoned for Multiple-Use and is situated along State Highway 81 near Interstate 84, long-haul fiber routes, and the Williams Northwest Pipeline. TerraVolt plans to develop the site as a master-planned digital infrastructure campus designed to support an initial 240 megawatts (MW) of dedicated on-site power generation. The planned capacity will be supported by a firm natural gas supply agreement of 55,000 MMBtu per day.

The purchase structure involves two distinct agreements. One agreement covers approximately 903.3 acres with a purchase price of $30,000 per acre, payable in cash. The second agreement covers approximately 174.1 acres, also priced at $30,000 per acre, but payable through the delivery of a convertible secured promissory note. The options expire on October 23, 2027, and may be extended for an additional six months upon payment of a $75,000 extension fee.

The promissory note will bear interest at the lowest applicable Federal rate, compounded annually, with a term of two years. The principal amount and accrued interest are convertible into shares of TerraVolt common stock at a price of $5.00 per share, subject to adjustment for stock splits. If the note is not converted, it will be paid in cash with the obligation secured by a mortgage on the Stock Parcels.

TerraVolt intends to sell shovel-ready building sites to data center operators and provide site services under a long-term infrastructure services agreement. The company states that the campus will utilize cooling technologies with low water usage, such as closed-loop cooling, to minimize water consumption.
