TEN Holdings, Inc. announced the appointment of Ian Lawson as Interim Chief Financial Officer on September 30, 2026. The appointment comes immediately following the mutual agreement between the Company and outgoing CFO Virgilio D. Torres for him to step down from his financial officer roles to focus on his responsibilities as Chief Executive Officer. The resignation was not due to any disagreement with the Company regarding its operations, policies, or practices.

Under the terms of a Consulting Agreement entered into on September 30, 2026, Mr. Lawson will serve as the Company’s principal financial officer and principal accounting officer. The Company will pay Everest Advisors LLC $4,000 per month for these services and will reimburse Mr. Lawson for reasonable travel and other incidental expenses consistent with the Company’s expense reimbursement policy. The Consulting Agreement may be terminated by either party upon 30 days written notice.

Mr. Lawson, age 59, is a California-licensed Certified Public Accountant who has been associated with Everest Advisors since June 2026. Prior to joining Everest, he served as Audit Director at RJI CPAs from February 2020 to December 2025, where he led audit and assurance engagements and advised companies on complex accounting and regulatory matters. Earlier in his career, he served as an audit partner at Weaver & Tidwell LLP from November 2018 to January 2020.
