SurgePays, Inc. (NASDAQ: SURG) announced on November 3, 2026, that it has entered into a Prepaid Wireless Purchase Commitment with Zulie Venture Inc., doing business as Etime system. Under the terms of the agreement, Etime system has committed to purchasing at least $4,000,000 in prepaid wireless airtime, top-up, and refill transactions from SurgePays each calendar month. This commitment totals a minimum of $48,000,000 over the initial term of the agreement, which runs from October 1, 2026, through September 30, 2027.
The agreement is designed to strengthen SurgePays POS, the company’s retail sales and payments business. Transactions under the agreement began in October 2026 and are processed through SurgePays POS. The parties have existing written business agreements that continue to govern their operational and commercial relationship. The agreement renews automatically for successive twelve-month terms at the same minimum purchase commitments unless either party provides written notice of nonrenewal at least thirty days before the end of the then-current term.
Etime system is a payments network serving more than 1,000 retail merchant locations nationwide. The company also operates the CellPay brand and was founded in 2016. According to the filing, the amounts described represent prepaid wireless purchase volume, and the net revenue and gross profit the Company recognizes from that volume may be significantly lower than the volume amounts described.
