On November 2, 2026, Indivior Pharmaceuticals, Inc. completed a business combination with Supernus Pharmaceuticals, Inc. pursuant to an Agreement and Plan of Merger dated August 1, 2026. As a result of the merger, Supernus Pharmaceuticals, Inc. merged with and into Indivior, with Supernus continuing as the surviving corporation. Indivior was subsequently renamed Supernus, Inc., and the combined entity is referred to in the filing as the Combined Company.

The transaction closed at 8:18 a.m. Eastern Time on November 2, 2026. Under the terms of the merger agreement, each share of Supernus common stock issued and outstanding immediately prior to the closing was converted into the right to receive 1.5401 shares of Indivior common stock. Following the name change, these shares are referred to as Indivior Shares. Legacy Indivior stockholders own approximately 56.5% of the combined company on a fully diluted basis, while former Supernus stockholders own approximately 43.5%.

In connection with the merger, the Combined Company entered into a Credit Agreement with Citibank, N.A. as agent. The agreement provides for a senior secured term loan facility with an aggregate principal amount of $650,000,000, which was fully drawn on the closing date. The proceeds of this facility are intended to be used to consummate the merger, refinance existing indebtedness, pay merger-related fees, and for general corporate purposes.

Leadership changes were also implemented at the closing. Joseph Ciaffoni, formerly Chief Executive Officer of Indivior, ceased to serve in that role. Jack Khattar, President and CEO of Supernus, will serve as President, Chief Executive Officer, and a member of the Board of Directors of the combined company. Tony Kingsley, previously a member of Indivior’s Board of Directors, will serve as Board Chair. The combined company’s headquarters will remain in Rockville, Maryland.

Additionally, Indivior stockholders received a one-time special cash dividend of $1.0 billion in the aggregate to finance the dividend, with the amount funded by the new credit facility and existing cash on hand. The combined company’s common stock began trading on the Nasdaq Global Market under the ticker symbol SUPN on November 3, 2026.
