Superior Group of Companies, Inc. (SGC) announced on October 28, 2026, that its Contact Centers segment, The Office Gurus (TOG), entered into an Asset and Share Purchase Agreement to acquire Select VoiceCom (SVC). The transaction, finalized on the Effective Date, was executed by two TOG subsidiaries against EBUS, Inc., a Delaware corporation, and SVCPH, Inc., a Philippine corporation, representing the Target Group.
The acquisition provides TOG with a direct operating presence in the Philippines and expands its global delivery footprint. Select VoiceCom operates business process outsourcing (BPO) delivery centers in Cebu City and Davao. The company serves clients across healthcare, financial services, legal services, and e-commerce.
Under the terms of the Purchase Agreement, TOG purchased all issued and outstanding capital stock of SVCPH and substantially all assets of EBUS. The total purchase price consists of approximately $26.9 million in cash, subject to adjustments for working capital, seller’s expenses, and indebtedness. A portion of this cash was placed in escrow to cover potential indemnification claims and post-closing expenses. Additionally, the transaction includes a potential maximum earn-out payment of approximately $6.4 million, payable over two years following the Effective Date, contingent upon revenue targets.
As part of the deal, TOG assumed certain liabilities of EBUS. The transaction was funded through borrowings under SGC’s syndicated credit facility led by PNC Bank, National Association. The Purchase Agreement includes customary representations, warranties, covenants, and indemnification provisions. The transfer of SVCPH Shares remains subject to certain post-closing requirements under Philippine law.
Founding leaders of Select VoiceCom, Mark Shapiro and Trevor Michael, will remain involved to support client and employee continuity. Cross Keys Capital served as the exclusive financial advisor, while Hill Ward Henderson and Quisumbing Torres provided legal counsel.
