Sumisho Air Lease Corporation announced on October 30, 2026, that it has commenced an exchange offer for its outstanding senior notes. The company is offering to exchange up to $800 million in aggregate principal amount of its 4.400% Senior Notes due 2028, $1.20 billion in aggregate principal amount of its 4.500% Senior Notes due 2029, $1.50 billion in aggregate principal amount of its 4.850% Senior Notes due 2031, and $500 million in aggregate principal amount of its 5.500% Senior Notes due 2036. These outstanding notes are being exchanged for an equal principal amount of new registered notes with identical coupon rates and maturity dates.
The Exchange Offer is intended to fulfill the company’s obligations under the registration rights agreement associated with the issuance of the outstanding notes. The terms of the new registered notes are substantially identical to the outstanding notes, with the primary difference being that the new notes are registered under the Securities Act of 1933. Consequently, the transfer restrictions, restrictive legends, and registration rights provisions that applied to the outstanding notes will not apply to the Exchange Notes.
The offer will expire at 5:00 p.m., New York City time, on December 1, 2026, unless extended. The company will not receive any proceeds from this transaction. Detailed terms and other information regarding the Exchange Notes are set forth in a prospectus dated October 30, 2026, which has been filed with the Securities and Exchange Commission.
