Strategic Storage Trust VI, Inc. (SST VI) announced the completion of its merger with Strategic Storage Growth Trust III, Inc. (SSGT III) on November 1, 2026. The transaction, valued at approximately $500 million, was structured as an all-stock merger. As a result, SSGT III stockholders received one share of SST VI Class A common stock for each share of SSGT III common stock they held.
Under the terms of the merger agreement, which was dated July 14, 2026, SSGT III was merged with and into a wholly-owned subsidiary of SST VI. At the effective time of the merger, SSGT III’s Series A Convertible Preferred Stock was automatically converted into Series G Convertible Preferred Stock of SST VI.
The merger significantly expanded SST VI’s real estate portfolio. The combined entity now owns 37 wholly-owned self-storage facilities across ten U.S. states and three Canadian provinces. These properties comprise approximately 29,400 units and 3.2 million rentable square feet. Additionally, the company holds joint venture interests in six operating and two developmental properties in Canada, a development property in Florida, and beneficial interests in three Delaware Statutory Trust programs owning eight properties.
Following the merger, legacy SST VI stockholders own approximately 59% of the combined company, legacy SSGT III stockholders own approximately 38%, and other operating partnership unitholders own approximately 3%. The company stated that SSGT III stockholders are expected to benefit from a distribution rate more than 20% higher following the merger.
In connection with the issuance of the Series G Preferred Stock, SST VI entered into an Investors’ Rights Agreement. This agreement grants the holder the right to request the registration for resale of shares of SST VI Class A Common Stock, subject to certain limitations. Specifically, after the first anniversary of issuance, the holder may request up to four demand registrations for an amount equal to at least $15 million each. The company agreed to file a registration statement on Form S-3 within 30 days of such a request.
