Stellar V Capital Corp. (SVCC) announced on October 29, 2026, that its shareholders approved an amendment to the company's charter to extend its deadline for completing a business combination. The original deadline, set for October 31, 2026, was pushed back to July 31, 2027, or an earlier date determined by the board of directors.

The company reported that the extension was necessitated by the initial period of 21 months following the company's initial public offering (IPO) on January 31, 2025. In connection with the annual general meeting (AGM) held on October 29, 2026, Stellar V Capital entered into agreements with certain shareholders to encourage them not to redeem their shares.

Under these agreements, if a shareholder does not exercise their redemption rights at the meeting and the extension is approved, the company will issue one Class A ordinary share for every five shares held by the investor, at no additional cost, immediately following the completion of the initial business combination.

These Non-Redemption Agreements were entered into with the intention of increasing the funds remaining in the company’s trust account established during the IPO. The agreements will terminate if the extension is not approved, if the company is liquidated, or if the shareholder exercises their redemption rights.
