The agreement, dated October 20, 2026, and effective October 1, 2026, establishes the terms for Mr. Macdonald’s continued service as CFO through September 30, 2028. The contract includes a provision for a one-year extension, potentially extending his tenure through September 30, 2029, if the Company provides notice prior to the expiration of the initial term.
Under the terms of the agreement, Mr. Macdonald is entitled to an annual base salary of $1,060,000. He is also eligible for an annual bonus with a target opportunity equal to 125% of his base salary, subject to the achievement of performance criteria determined by the Compensation & Talent Committee of the Board of Directors. Additionally, the Company will request approval for annual equity awards following each annual cycle, with a target grant date value of 70% of Mr. Macdonald’s base salary. These awards may include time-based restricted share units, performance-based restricted share units, stock options, or other equity instruments, with vesting schedules determined by the Compensation Committee.
The agreement outlines severance and change-in-control provisions. If Mr. Macdonald experiences a qualifying termination during the term of the agreement, he is entitled to cash severance equal to 18 months of his base salary and payment of COBRA premiums for up to 18 months. In the event of a change in control during the term, Mr. Macdonald would be eligible for accelerated vesting of outstanding, unvested equity awards scheduled to vest within 12 months following his termination. The agreement also includes standard restrictive covenants regarding confidentiality and non-solicitation of employees for 12 months following termination.
