SoundHound AI, Inc. has completed its acquisition of LivePerson, Inc., according to a Form 8-K filed with the SEC on September 4, 2026. The transaction was executed through two mergers involving SoundHound and its subsidiaries, resulting in LivePerson becoming an indirect wholly owned subsidiary of SoundHound.
Under the terms of the Amended and Restated Merger Agreement, effective on the Closing Date, LivePerson common stock was converted into shares of SoundHound Class A Common Stock. Specifically, at the First Merger Effective Time, each share of LivePerson common stock was converted into the right to receive 0.4673 shares of SoundHound Common Stock. Additionally, shares of LivePerson common stock held through the Tel-Aviv Stock Exchange Clearing House Ltd. were converted into a cash payment of $3.31 per share at the Second Merger Effective Time.
In connection with the acquisition, SoundHound entered into a Registration Rights Agreement with the holders of its First Lien Secured Notes due 2029 and Second Lien Secured Notes. This agreement requires SoundHound to file a registration statement under the Securities Act of 1933 to facilitate the resale of Company Common Stock issued to these note holders pursuant to a Notes Restructuring Agreement.
SoundHound also announced the appointment of John Collins as the company’s new Chief Financial Officer. Collins will receive an annual base salary of $465,000 and is eligible for a discretionary annual bonus targeting 65% of his base salary. He will also receive a signing bonus of $150,000 and equity awards consisting of approximately 63% time-based restricted stock units vesting over four years and 37% performance stock units.
SoundHound stated that the combined company has a customer base that includes 25 of the Fortune 100 and a strengthened intellectual property portfolio of over 750 patents. The company noted that LivePerson’s platform will be integrated into SoundHound’s OASYS system to create a unified platform capable of operating across voice, web, mobile, SMS, and social channels.
