SOBR Safe, Inc. has terminated its previously announced merger with Clean World Ventures, Inc. (CWV). According to a Current Report on Form 8-K filed with the Securities and Exchange Commission on September 17, 2026, the termination was executed via a Mutual Termination Agreement and Release effective on that same date. The agreement was entered into by SOBR Safe, CWV, SOBR Safe Merger Sub, Inc., and Roy DiBenerdini.

The merger was originally agreed upon on April 24, 2026, under an Agreement and Plan of Merger and Reorganization. Under the terms of that agreement, SOBR Safe Merger Sub was to merge with and into CWV, with CWV continuing as a wholly owned subsidiary of SOBR Safe.

The parties involved have agreed to release mutual claims related to the merger agreement and the transactions contemplated by it. However, the release does not cover claims for breach of the Termination Agreement itself or the Mutual Non-Disclosure Agreement (NDA) dated April 6, 2026. The Company and CWV remain bound by the terms of the NDA.

In conjunction with the termination, SOBR Safe has withdrawn its registration statement on Form S-4, which was initially filed with the SEC on June 9, 2026. The filing includes the Mutual Termination Agreement and Release as Exhibit 2.1.
