Smartbird, Inc. held its Annual Meeting of Stockholders on September 30, 2026. The meeting was conducted virtually via www.virtualshareholdermeeting.com/BIRD2026. According to the final report of the Inspector of Election, the record date for determining voting eligibility was August 6, 2026. At that time, there were 9,315,794 shares of Class A Common Stock and 2,493,399 shares of Class B Common Stock outstanding. The Class B shares carry ten votes per share, while Class A shares carry one vote per share.

The stockholders voted on five proposals during the meeting. Regarding the election of Class II directors, Daniel Kasun received 24,767,216 votes, while Elizabeth Mora received 24,766,024 votes. Both directors were elected to hold office until the 2029 Annual Meeting of Stockholders.

Stockholders also approved an amendment to the 2021 Equity Incentive Plan to increase the number of shares authorized for issuance. The proposal received 18,378,187 votes in favor, with 946,000 votes against and 5,478,236 abstentions.

Additionally, the stockholders approved the issuance of Class A Common Stock representing more than 19.99% upon the conversion of certain Convertible Notes. This approval was necessary to comply with Nasdaq Listing Rule 5635(d). The measure passed with 24,725,914 votes for, 72,874 against, and 3,635 abstentions.

The stockholders ratified the selection of BPM LLP as the independent registered public accounting firm for the fiscal year ending December 31, 2026. The ratification received 27,601,747 votes in favor, 92,479 against, and 305,413 abstentions. Finally, the stockholders approved the ability to adjourn the meeting if necessary to solicit additional proxies, with 26,605,116 votes in favor.
