Skyworks Solutions, Inc. has completed an exchange offer and consent solicitation involving Qorvo, Inc. debt securities. The transaction, which settled on October 7, 2026, allowed holders to exchange outstanding Qorvo notes for new senior unsecured obligations issued by Skyworks.

The exchange offer covered two series of Qorvo notes. Holders of the 4.375% Senior Notes due 2029 were able to exchange them for up to $850,000,000 in new 4.375% Senior Notes due 2029 issued by Skyworks. Holders of the 3.375% Senior Notes due 2031 were able to exchange them for up to $700,000,000 in new 3.375% Senior Notes due 2031 issued by Skyworks.

According to the filing, the aggregate principal amounts tendered and accepted were:

In connection with the settlement, Skyworks issued $778,096,000 in new 2029 notes and $646,805,000 in new 2031 notes. These new notes are governed by an indenture with U.S. Bank Trust Company, National Association, and bear interest at the same rates as the Qorvo notes they replaced: 4.375% per annum due October 15, 2029, and 3.375% per annum due April 1, 2031.

The exchange offer was made pursuant to a registration statement on Form S-4, declared effective on May 29, 2026. The related consent solicitations sought to adopt proposed amendments to the indentures governing the Qorvo Notes.
