Simon Property Group, L.P. (the “Operating Partnership”) has entered into an underwriting agreement dated September 9, 2026, to sell a total of $800 million in aggregate principal amount of unsecured senior notes. The offering consists of two series of debt: $400,000,000 of 5.250% notes due 2032 and $400,000,000 of 5.650% notes due 2036.
The underwriters for the transaction are J.P. Morgan Securities LLC, Mizuho Securities USA LLC, PNC Capital Markets LLC, and Wells Fargo Securities, LLC. The Operating Partnership has agreed to indemnify the underwriters against certain liabilities under customary terms. The underwriters are also expected to receive customary fees and expenses for their investment banking and advisory services.
The notes were issued on September 16, 2026, pursuant to an indenture dated November 26, 1996, between the Operating Partnership and The Bank of New York Mellon Trust Company, N.A., as trustee. The issuance is governed by the Forty-Ninth Supplemental Indenture, dated September 16, 2026.
Key terms of the notes include:
- 2032 Notes: Interest is set at 5.250% per annum, payable semi-annually in arrears on February 15 and August 15, beginning February 15, 2027. These notes mature on February 15, 2032.
- 2036 Notes: Interest is set at 5.650% per annum, payable semi-annually in arrears on April 1 and October 1, beginning April 1, 2027. These notes mature on October 1, 2036.
The Operating Partnership retains the option to redeem the notes of either series at any time, in whole or in part, upon not less than 10 and not more than 60 days’ prior written notice. The redemption price will equal the principal amount plus accrued interest, subject to a “make-whole” premium calculated under the terms of the indenture, with specific exceptions for redemptions on or after the maturity dates of each series.
The notes are subject to customary events of default, including nonpayment, failure to comply with the indenture agreements for a period of 90 days after notice, and certain bankruptcy, insolvency, and reorganization events.
