Shoe Station Group, Inc. (SHOE) announced on October 15, 2026, that it has entered into the First Amendment to its Amended and Restated Credit Agreement. The amendment modifies the company’s existing revolving credit facility, which was originally dated March 23, 2022.
The primary change involves extending the maturity date of the revolving credit facility from its previous term to October 15, 2031. The facility remains a $100 million revolving credit line, which includes provisions for swingline loans and commercial and standby letters of credit.
The amendment also revises the pricing terms for the facility. Borrowings under the revolving loans may be made at either a Base Rate plus an applicable margin ranging from 0.00% to 1.00%, or Adjusted Term SOFR plus an applicable margin ranging from 1.00% to 2.00%. These rates are determined based on the Company’s Consolidated Total Leverage Ratio. Additionally, the commitment fee on the unused portion of the facility ranges from 0.20% to 0.30% per annum, also based on the Consolidated Total Leverage Ratio.
Other modifications to the agreement include increasing the annual restricted-payment basket to $40 million, subject to applicable conditions. The amendment also permits up to $35 million of indebtedness secured by real property for the company’s corporate headquarters and allows for certain sale-leaseback transactions involving real property located in Evansville, Indiana, and the corporate headquarters property.
