Sports Entertainment Gaming Global Corporation (SEGG Media) has requested a hearing before the Nasdaq Hearings Panel to address a notice of non-compliance with listing standards. The company received a Staff Determination letter on October 14, 2026, from the Listing Qualifications Department of Nasdaq, notifying it that it has failed to regain compliance with Nasdaq Listing Rule 5250(c)(1). This rule requires listed companies to timely file all required periodic reports with the Securities and Exchange Commission (SEC).

The non-compliance stems from the company’s failure to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2026 (the Q2 Form 10-Q). This is the only delinquent report identified in the current determination. The company previously received notices regarding three delinquent reports: the Annual Report on Form 10-K for the year ended December 31, 2025, and the Quarterly Reports for the quarters ended March 31, 2026 and June 30, 2026. The company has since filed the 10-K and the March 31, 2026 10-Q.

Under Nasdaq’s rules, the maximum time available to regain compliance has expired. The Staff Determination states that trading in the company’s common stock (ticker: SEGG) and warrants (ticker: LTRYW) would be suspended from The Nasdaq Global Market at the opening of business on October 23, 2026, and Nasdaq would file a Form 25-NSE with the SEC to remove the securities from listing, absent an appeal.

SEGG Media has requested a hearing before the Panel and paid the applicable $20,000 hearing fee. The company has also asked the Panel to extend the stay of suspension for 15 days from the date of the request. The company intends to present a plan to regain compliance and request an exception, which the Panel may grant for up to 180 days from the date of the Staff Determination. The company expects to file the Q2 Form 10-Q as soon as practically possible, subject to completion of its independent registered public accounting firm’s review.

The company noted that there can be no assurance that the Panel will grant the request for an extended stay or an exception, or that the company will regain or maintain compliance with Nasdaq’s continued listing requirements.
