Seer, Inc. (Nasdaq: SEER) announced on October 29, 2026, that its Special Committee has unanimously rejected recent unsolicited acquisition proposals. The decision was made following a three-month review process involving the company’s legal and financial advisors.
The Special Committee, comprised of independent directors Meeta Gulyani and Nicolas Roelofs, Ph.D., concluded that a sale of the company at this time would undervalue Seer and its future prospects. The Committee stated that it approached the process with no options off the table and that Seer is well-positioned to meet growing demand in the proteomics sector.
The rejected proposals included:
- Radoff-JEC Group: A non-binding proposal submitted on July 28, 2026, to acquire all outstanding Class A common stock for $2.55 per share in cash plus a contingent value right.
- Omid Farokhzad, M.D.: An unsolicited, non-binding proposal submitted on July 29, 2026, to acquire all outstanding Class A common stock for $2.45 per share in cash plus two separate contingent value rights.
The Special Committee determined that both offers failed to reflect the company's intrinsic value.
