SecureTech Innovations, Inc. has entered into a series of definitive agreements with QStak Holding, LLC and Craft Capital Management LLC, closing on October 22, 2026. The transactions include an exclusive license to blockchain technology, the formation of a joint venture, and an equity investment in QStak.
Under the agreements, SecureTech obtained an exclusive, worldwide license to QStak’s blockchain, exchange, wallet, and related intellectual property. The license consideration has an aggregate stated value of up to $22,000,000. All payments are to be made in newly designated Series B Preferred Stock, with a stated value of $10,000 per share, and no cash is exchanged. The consideration is payable in four tranches: $6,000,000 (600 shares) at closing; $3,000,000 (300 shares) upon the first commercial launch of the QStak exchange to unaffiliated customers; $6,500,000 (650 shares) when the joint venture achieves $7,500,000 in annual gross revenue; and $6,500,000 (650 shares) when the joint venture achieves $15,000,000 in annual gross revenue.
SecureTech also formed QStak Market, LLC, a Wyoming limited liability company, to commercialize the licensed technology. Piranha Blockchain, Inc., a wholly owned subsidiary of SecureTech, holds a 57% interest in the joint venture, while QStak holds a 38% interest and Craft Capital holds a 5% profits interest. The joint venture is managed by a three-member committee, with two members designated by SecureTech.
In a separate transaction, SecureTech acquired a net 15% ownership interest in QStak for $4,500,000. The purchase price was paid in shares of SecureTech’s Series A Preferred Stock, with the number of shares determined based on the closing price of SecureTech’s common stock on October 21, 2026. SecureTech also received the right to appoint a non-voting observer to QStak’s governing board.
On October 22, 2026, the Board of Directors approved the issuance of securities related to these transactions. This included the issuance of 600 shares of Series B Preferred Stock to QStak, 26 shares of Series A Preferred Stock to QStak, and the redemption of 570 shares of Series A Preferred Stock by SecureTech for 5,700,000 shares of common stock. Additionally, the company issued 2,078 shares of common stock to Ajene Watson, LLC for consulting fees and 3,750 shares of common stock to three director nominees for advisory services.
