SDR Drone, Inc. has filed an 8-K report detailing two significant corporate actions taken on October 22, 2026. The company adopted a new 2026 Stock Incentive Plan and entered into a consulting agreement with SJT Capital LLC.
Under the newly adopted 2026 Stock Incentive Plan, the Board of Directors authorized the reservation of 12,000,000 shares of common stock for issuance. The plan permits the Board to grant awards of common stock, restricted stock, and nonqualified stock options to employees, officers, directors, and consultants. Options granted under the plan must have an exercise price equal to or greater than the fair market value on the grant date and may not be exercised more than ten years after the grant date. The plan expires on December 31, 2029, and awards that lapse return to the reserve. The Board also authorized the filing of a registration statement on Form S-8 to register the shares reserved under the plan.
In a separate agreement executed on October 19, 2026, SDR Drone engaged SJT Capital LLC to provide general strategic and capital markets advisory services. These services include advice on public market positioning and a potential listing on a national securities exchange, as well as introductions to financial institutions. As compensation, the company will issue SJT Capital 250,000 shares of common stock, which are fully earned as of the effective date. Additionally, SJT Capital is entitled to receive 50,000 shares upon the company’s execution of an engagement letter with a broker-dealer introduced by the firm, and 200,000 shares upon approval of the company’s common stock for listing on the New York Stock Exchange, NYSE American, or the Nasdaq Stock Market, provided these milestones occur during the term or within twelve months after it ends.
The consulting agreement is set to run through June 27, 2027. The company has agreed to file a registration statement covering the resale of the shares within 60 days of the effective date. The company also reported that the Securities Division of the South Carolina Attorney General issued a letter on October 22, 2026, confirming that the payments required by a prior Consent Order have been satisfied and advising that the company is not disqualified under certain federal securities regulations as a result of that order.
