ScanSource, Inc. (NASDAQ: SCSC) has completed its acquisition of MicroAge Acquisition Corp. The transaction was finalized on September 1, 2026, under the terms of a definitive agreement announced on August 20, 2026.

The purchase price for the all-cash transaction is $220.5 million. ScanSource utilized borrowings from its revolving credit facility to fund the acquisition. Specifically, the company borrowed approximately $225 million under the Credit Agreement dated December 18, 2025, to cover the purchase price and related costs.

Of the total consideration, $220.5 million was paid at closing. Additionally, $3 million and $6.8 million were placed in escrow. These escrow amounts are intended to support post-closing working capital adjustments and cover potential indemnification claims, respectively.

According to the company’s press release, the acquisition is expected to be accretive to gross profit margin, adjusted EBITDA margin, and non-GAAP EPS in the first year following the close. The transaction is also projected to be free cash flow positive for ScanSource.
