Sanuwave Health, Inc. filed a Current Report on Form 8-K with the Securities and Exchange Commission on October 28, 2026, announcing an amendment to its existing credit agreement.

The company entered into Amendment No. 1 to Credit Agreement and Waiver on October 28, 2026. The amendment modifies the credit agreement dated September 25, 2025, which involves the Company, Sanuwave, Inc. as a guarantor, the lenders, and JPMorgan Chase Bank, N.A. as the administrative agent.

Under the terms of the new agreement, the lenders have waived any default or event of default arising from the fixed charge coverage ratio for the twelve-month period ending September 30, 2026, which fell below the required level in the original agreement.

The amendment also imposes new restrictions on the Company. Lenders are now required to provide written consent for any Permitted Acquisition or the use of Restricted Payments to repurchase outstanding equity, subject to specific exceptions. Additionally, the limits on permitted other secured indebtedness and permitted subsidiary investments were each reduced from $500,000 to $250,000.

As part of the agreement, Sanuwave Health agreed to pay an amendment fee of $5,000.
