Las Vegas Sands Corp. (NYSE: LVS) announced on October 26, 2026, that its majority-owned subsidiary, Sands China Ltd., intends to offer USD-denominated senior unsecured notes. The principal amounts, interest rates, and other key terms of the offering have not yet been determined and will be set at the time of pricing.

The company stated that the net proceeds from the offering, combined with existing cash on hand, will be used for specific financial purposes. These include redeeming in full the outstanding principal amount of its US$700 million 2.300% senior notes due 2027 and any accrued interest, as well as repaying the outstanding balance on its 2024 SCL Revolving Facility.

In addition to these debt repayments, Sands China intends to use the remaining funds for general corporate purposes, which include capital expenditures. The notes have not been registered under the Securities Act of 1933 or the securities laws of any other jurisdiction. Consequently, they may only be offered and sold to professional investors who are qualified institutional buyers under Rule 144A or non-U.S. Persons outside the United States under Regulation S.

Sands China has proposed seeking a listing for the notes on the Hong Kong Stock Exchange and has received an eligibility letter regarding this proposal. The company noted that no binding agreement has been entered into as of the date of the press release, meaning the offering may or may not materialize.
