RYTHM, Inc. has entered into an amendment to its existing trademark and recipe license agreement. The filing, dated October 13, 2026, details a modification to the agreement originally signed on August 27, 2025, between VCP IP Holdings, LLC (a wholly owned subsidiary of RYTHM) and GTI Core, LLC (an indirect wholly owned subsidiary of Green Thumb Industries Inc.).
The amendment, identified as Amendment No. 2, adds the Company’s Señorita brand to the intellectual property licensed to GTI Core. The agreement was entered into in anticipation of upcoming changes to federal law governing hemp-derived THC products. Under the new terms, if RYTHM and its affiliates are permitted to commercialize the Señorita brand outside of state-regulated dispensary channels, they will hold the exclusive right to do so. Conversely, GTI Core’s rights regarding the Señorita brand are limited to state-regulated dispensary channels.
In exchange for these additional rights, the base licensing fees under the August 2025 License Agreement have increased by $250,000 per year. The filing notes that these fees are subject to adjustments as specified in the original agreement. All other terms of the August 2025 License Agreement remain unchanged.
RYTHM, Inc. is listed on the Nasdaq Capital Market under the symbol RYM. Green Thumb Industries Inc. is an indirect owner of approximately 32% of the Company’s outstanding common stock and has the right to acquire additional shares that could increase its beneficial ownership to approximately 90%.
