RREEF Property Trust, Inc. has announced that its Board of Directors unanimously approved a Plan of Complete Liquidation and Dissolution on September 15, 2026. The filing details that the plan provides for the voluntary sale of all assets and the subsequent dissolution of the company. The plan is subject to approval by the holders of a majority of the company’s common stock entitled to vote on the matter.
The company anticipates submitting the plan for stockholder approval at a special meeting expected to occur in early 2027. Upon approval, the company is authorized to sell, convey, and transfer its assets, including those of its subsidiaries, in one or more transactions. The company intends to pay or make provisions to pay all claims and obligations before distributing remaining assets to stockholders.
In conjunction with the liquidation plan, the Board approved the immediate suspension of the company’s share redemption plan and distribution reinvestment plan. The suspension also applies to the sale of shares in public and private offerings. The company stated that it intends to continue paying monthly distributions to stockholders as it seeks approval, subject to the discretion of the Board.
