Ross Stores, Inc. announced changes to its Board of Directors effective October 1, 2026, involving the retirement of a long-time member and the appointment of two new independent directors.

Sharon D. Garrett, a member of the Board since 2000, will retire on October 1, 2026. The Company expressed gratitude for her service over the past 25 years, citing her counsel during a period of significant growth.

Effective the same date, the Board appointed Shelley H. Bransten and Christian B. Johnson as new members. Both directors will serve an initial term expiring at the Company’s 2027 Annual Meeting of Stockholders.

Ms. Bransten brings over 25 years of experience in the technology and consumer sectors. Her background includes serving as Corporate Vice President, Frontier Industry Advisory at Microsoft, and previous roles at Salesforce.com and The Gap, Inc.

Mr. Johnson has more than two decades of experience investing in consumer-facing businesses. He is currently a Partner at Freeman Spogli and has previously held positions at Wachovia Securities and Genzyme Corporation.

Both Ms. Bransten and Mr. Johnson have been appointed to the Board’s Audit Committee. They are classified as independent directors under Nasdaq Listing Rules. In connection with their appointments, they will receive cash compensation and restricted stock grants, as well as indemnification agreements consistent with standard director arrangements.

The appointments increase the total size of the Board to ten members.
