Quantum Cyber N.V. has entered into a sales agreement with Titan Partners Securities LLC to sell up to $100,000,000 of its ordinary shares. The agreement, dated October 9, 2026, allows the company to issue shares from time to time through an "at the market" offering program. The offering is conducted pursuant to a shelf registration statement on Form S-3 (File No. 333-296480), initially filed on June 4, 2026, and declared effective by the SEC on June 15, 2026. A prospectus supplement dated October 9, 2026, was filed to support the sale of the shares.
Under the terms of the agreement, Titan Partners Securities LLC will act as the sales agent and use commercially reasonable efforts to sell the shares. The company is not obligated to sell any shares and may terminate the agreement at any time. The offering will terminate upon the sale of all available shares or the termination of the agreement.
Quantum Cyber intends to use the net proceeds from the sale of the shares for several purposes. These include funding capital expenditures and software development for its motor, propeller, and quantum antenna lines, as well as development of its operating system. Proceeds will also be used to expand production capacity and product offerings, including through potential acquisitions, investments, or strategic partnerships. Additionally, the company stated that net proceeds will be used for working capital and general corporate purposes.
The company has agreed to pay the sales agent a commission equal to 3.0% of the gross sales price of the shares sold. The agreement includes customary representations, warranties, indemnification rights, and termination provisions.
