Prudential Financial, Inc. announced on October 20, 2026, that it has entered into definitive agreements to sell 100% of its equity interests in Prudential do Brasil Seguros S.A. and Prudential Seguros Mexico, S.A. de C.V. to the CNP Assurances Group. The transaction is structured as two separate agreements, with the Brazilian subsidiary, CNP Seguradora, acquiring Prudential of Brazil and CNP Assurances Holding acquiring Prudential of Mexico.
The aggregate purchase price for the transaction is approximately $4.025 billion in cash, subject to certain closing adjustments. The deal is expected to close in the second half of 2027, contingent upon the receipt of regulatory approvals and the satisfaction of customary closing conditions.
Prudential intends to utilize the proceeds from the sale to support its capital allocation priorities and invest in its highest-priority growth opportunities in the United States, Japan, and select European markets. These priorities include retirement, asset management, and select protection businesses.
According to the filing, the sale is part of Prudential’s strategy to exit emerging markets and simplify its geographic footprint. This transaction follows the sale of the company’s interest in several joint ventures, including PT PFI Mega Life Insurance in Indonesia, Alexforbes in South Africa, and ICEA LION in Kenya, which closed on October 13, 2026.
