Professional Diversity Network, Inc. (NASDAQ: IPDN) announced on October 6, 2026, that its wholly owned subsidiary, PDN Intelligence, Inc., has entered into agreements to acquire and deploy two NVIDIA B300 eight-GPU computing systems. The total initial capital commitment for this infrastructure is approximately $1.177 million.

The agreements involve three parties: PDN Intelligence, Goodwill Labs Inc., and HashForest Technology LLC. Under the structure, PDN Intelligence is acquiring one system from AMAX Engineering Corporation for $588,581.99. The company has already paid $294,291.00 of the purchase price, with the remaining balance due before shipment. Title to this equipment will pass directly from AMAX to PDN Intelligence.

PDN Intelligence will lease this first system to Goodwill. The lease has a 60-month term beginning upon delivery to a data center in Hillsboro, Oregon. The annual base rent is set at 20% of the acquisition cost, or approximately $117,716, payable bi-monthly. Goodwill may terminate the lease after two years without a fee. Additionally, PDN Intelligence is lending Goodwill $588,849.23 to finance the acquisition of a second system. Goodwill will own this equipment subject to a security interest held by PDN Intelligence.

The financing for the second system is structured as a secured term loan with no fixed interest or scheduled principal payments. Instead, Goodwill must pay PDN Intelligence 75% of the positive bi-monthly distributable profit generated by the equipment. The loan has an initial two-year term that begins no later than January 15, 2027, and renews automatically for one-year terms unless terminated with 30 days' notice.

Commercial operation of the leased equipment is governed by a Tri-Party Collaboration Agreement. Under this agreement, Goodwill handles customer contracting, HashForest provides technical support and billing, and PDN Intelligence provides market-growth services. Bi-monthly project profit is allocated 75% to PDN Intelligence and the remainder to Goodwill and HashForest. PDN Intelligence’s share may be reduced in later periods to reimburse Goodwill for rent funded from its own resources.

The company stated that the system is intended to support high-performance AI workloads, including model training and inference. The press release accompanying the filing emphasized that the company is moving from strategy to execution in its AI infrastructure business.
